Company Name:
A company name can be in either Portuguese, Chinese, or both. An English company name must be accompanied by a Portuguese or Chinese name. Moreover, the objectives of the corporation’s activities and the type of business must be clearly stated; this part of the process falls under the firm name certificate which will be issued by the Business Registry.
Directors:
For limited liability companies in Macau, at least one director is necessary. Appointment of a director can be either through election, or through members of a board. They must be at least 18 years of age.
Shareholders:
There must be at least one shareholder, but this is capped at thirty. Shareholders can either be a natural person or a legal entity.
Company Secretary:
In a Macau ‘one-man’ limited company (i.e. a company with only one shareholder), a company secretary is required, but otherwise, this is not necessary.
Registered Address:
Limited companies must have their own registered office address.
Minimum Capital Requirements:
There is a minimum share requirement for limited companies in Macau of 25,000 MOP.
Annual Reports:
It is essential that all companies in Macau prepare and file financial reports.
